It is the pleasure of the Board of Directors of Triangle Futbol Club, Inc. (“TFC”) and Carolina Soccer Club(“CRSC”) to announce the respective and collective boards of TFC and CRSC unanimous decision to combine the clubs. The surviving non-profit corporation will be TFC, which will change its name to Triangle Futbol ClubAlliance, Inc. (“TFCA”). Both organizations will submit the decision to their respective memberships for a vote to confirm and endorse this exciting move toward a larger soccer organization with a larger regional footprint.
TFC recently announced its merger with FVAA Soccer Club, Inc. (“FVAAS”), which was recently formed and spun off of the larger Fuquay Varina Athletic Association, Inc. (“FVAA”) and contains all of the player registrations, field relationships and coaches as the soccer division of the former FVAA. TFC and FVAA had a previous arrangement for the combination of their players to form the North Carolina Alliance (“NCA”), which was operated as a subsidiary of TFC. The NCA is and shall be part of the resulting combined organization.
Both organizations have continually shown a dedication, through the sport of soccer, to develop youth and enhance communities in the greater Triangle Area, to develop the individual player within a team environment and develop character traits that assist individuals in becoming a more positive influence within society.
Name:The name shall be TRIANGLE FUTBOL CLUB ALLIANCE, INC.
Effective Date:The effective date of the merger shall be . TFC, CSRC, FVAAS and NCA shall continue to operate under their own flag for the spring 2014 season.
Numbers:The resulting and combined membership is and shall be as follows:
Colors:The colors shall be NAVY BLUE andWHITE for the club. DOC’s are responsible for colors of the individual teams and kits and may add other color for reasons of delineating the level of the team.
Board Representation:At present, TFC has a board of directors containing 7 at large members. CRSC has a board of directors containing 5 members. FVAAS has a board of directors containing 5 members. The resulting TFCA board of directors shall contain the 7 board members of TFC as of plus an additional two members appointed from CRSC and two additional membersappointed from FVAAS. The resulting 11member board and officers shall remain in-tact and in office from , at which time 5 board members shall see their term expire and be up for election. (Three from the original TFC board, one from the original CRSC board and one from the original FVAAS board.) At that election in December of 2015, the board shall be reduced from 11back to 9, with 3 of the 5 spots being available. From forward, there shall be no distinction between members of the board that originated with TFC, CRSC or FVAAS. The board of directors of the NCA shall remain a subcommittee of the TFCA board of directors.
Informational Meeting:The board of directors of the TFC and the board of directors of CRSCwill hold a joint informational meeting to answer any and all questions about the pending combination of the clubs prior to the membership vote. The meeting will be held:

This announcement shall be considered notice to the respective memberships of the upcoming vote in accordance with their respective bylaws and organizational documents. In accordance with TFC’s bylaws, this shall be considered to be a special meeting of the Team Representatives called by the President and the Board of Directors to consider the sole issue of the merger.
NCYSA Approval:In addition to the approval of the respective memberships, the combination of the clubs shall be offered to the NCYSA in January of 2014 for approval.
In a joint statement, Jon Biggs, President of TFC, andScott Weiland, President of CRSC, both said: “It is very exciting to announce the completion of the combination of these two wonderful soccer organizations. This is the culmination of over a year and a half of discussions. The combination of the strengths and talents of all four clubs, Triangle Futbol Club, North Carolina Alliance, Carolina Soccer Club and Fuquay Varina Soccer Club (FVAAS) into one regional elite soccer organization offers incredible opportunities on the field and in the community. This new endeavor will include all of our families and players in a bigger, stronger and better club. The fact that all of the respective boards of directors approved the merger unanimously is a testament to the solid vision and planning behind this new endeavor. Our new combined club will further education and character building through the lessons of soccer and team sport. With the combination of the clubs, we are certain that will have the best and most committed directors, coaches, players and parents in the triangle. It further provides for the financial stability of the combined organization to compete together for field space, sponsorships, and fundraising, rather than competing against each other for those same resources. The new combined efforts and talents of this merged club shall further solidify the position of TFCA as the premier soccer organization in the triangle and a leader in the State of North Carolina.
